Law Firm Corporate Practice Categories

Submissions Due: May 13, 2022

Materials Required:

Essay
Write an essay of no more than 750 words to describe the corporate practice and why it is a go-to for clients and worthy of this award. Explain the types of deals, industries and clients you represent, how you overcome complex matters, what specialty areas you have within your department, any creative ways you staff or bill matters, and how your department is able to have the biggest impact on the deal scene, whether it be through novel approaches to getting things done, regulatory or other hurdles overcome, an expertise or geographic footprint that serves clients well, the formation of new legal concepts around dealmaking, etc. Deals can include M&A, private equity, financing, corporate governance, tax and out-of-court bankruptcy/restructuring work.

Stats

  • How many lawyers are in your corporate practice:
  • How many other timekeepers are in your corporate practice:
  • What percentage of total firm attorney headcount do the corporate lawyers comprise:
  • What percentage of firm revenue is derived from your corporate practice:
  • How many deals did you complete between July 1, 2020, and May 13, 2022.
  • How many announced deals did you represent the principal?
  • What was the total value of those deals during that time frame?

Technology
What technology tools do you use, if any, to aid in deal work?

Matters
Describe up to 7 deals the practice closed in the submission time period of July 1, 2020, through May 13, 2022. Up to two of the deals can be announced deals that have not closed yet but for which substantial work was done in the submission time period. All other deals should have closed in the submission time period. For each deal, please name the client, type of deal, role your firm played and any other firms that represented your client, the deal value, the date it was announced, the date it closed and the lead lawyer(s) involved. The brief description of each deal outside of those details should be no more than 300 words and should describe why the deal was novel or unique, what challenges the deal team overcame, why the result was so impressive or important to the client or industry and/or why your firm’s team was the one to get this deal done. Deals have to have been closed within the submission period. Work done by laterals at their previous firm should not be included. Please mark clearly any piece of an entry that needs to be kept confidential. Submissions that are heavily marked as confidential will be difficult to write about, and therefore difficult to award, so please bear that in mind.

Client References
Please list 2 client references who can comment on specific deals in this submission period or the firm’s corporate department in general. Please include their name, company, position and contact info.

Client Relationships
Describe two client relationships where the firm has been go-to deal counsel for a period of time at least as long as the submission period, but can extend well beyond it. Describe each relationship in 200 words or less, explaining how the firm has become a valued outside provider, how it works with the client, and any significant matters it has handled.

Corporate Lawyer of the Year (Optional)
You may enter a 500-word essay to nominate one attorney from your corporate department who had an exceptionally strong practice during the submission period. Unlike our Dealmakers honors written up in our April issue which focus on a single matter, this is for a lawyer who has been heavily involved in several important matters or through crucial client counseling during the submission period.

Specialty Categories

Regardless of whether a firm submits for the general category, firms can submit for up to two of the specialty category awards.

Submissions Due: May 13, 2022

The specialty categories this year are:

Best Corporate Practice-Small/Midcap Deals
(For firms who want to demonstrate deal prowess in the middle market space, typically with a range of deals under the $1 billion mark.)

Best Corporate Practice — Health Care / Pharmaceutical

Best Corporate Practice — Tech/Telecom

Best Corporate Practice — Energy

For these categories, please include:

  • 500-word essay on why your department is exceptional at representing clients in the corresponding industry, including the types of matters handled, the creativity shown in your work, any unique ways matters are staffed or billed, technology that is used, etc.
  • Up to 6 examples of deals handled during the submission period (July 1, 2020, to May 13, 2022) for the corresponding industry. Up to two of these deals can be pending closing. The rest should have closed in the submission period. Name the client the firm represented, the uniqueness/import of the deal for the client or broader industry, the lead lawyers on the matter, the deal value, the date announced/closed. Please keep each matter’s description to no more than 300 words.
  •  Two client references to speak about either one of the deals listed or just the practice’s work in general.
